Terms of Service

These Terms of Service ("Terms") govern your access to and use of Hedge ("Hedge", "we", "us", "our"), including our website, apps, and related services (together, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you don't agree, please don't use the Service.

These Terms are governed by the laws of New Zealand. Nothing in these Terms limits any rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 where those Acts apply.

1. Eligibility and account

You must be at least 16 years old to use Hedge. When you create an account, you agree to provide accurate information and to keep it up to date. You are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us promptly if you suspect unauthorised access.

2. Subscriptions and payment

Some features of Hedge require a paid subscription. Pricing and billing terms are shown before you subscribe. By subscribing you authorise us (through our payment provider) to charge the applicable fees on a recurring basis until you cancel.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable.

3. Your content and data

You retain ownership of the information you put into Hedge — your budgets, categories, transactions, and other data ("Your Data"). You grant us a limited licence to host, process, and display Your Data solely to provide the Service to you.

You are responsible for the accuracy of Your Data and for keeping your own backups where appropriate. We treat Your Data in line with our Privacy Policy.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in breach of these Terms;
  • Attempt to reverse engineer, scrape, or interfere with the Service or the systems it runs on;
  • Upload or transmit malware, or otherwise harm the Service or its users;
  • Resell, sublicense, or commercially exploit the Service without our written permission;
  • Impersonate another person or misrepresent your affiliation with any person or entity.

We may suspend or terminate accounts that breach these rules or that pose a risk to the Service or its users.

5. Intellectual property

The Service, including its software, branding, and content (other than Your Data), is owned by Hedge or its licensors and is protected by copyright and other intellectual property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose.

6. Financial information disclaimer

Hedge is a budgeting tool. It is not financial advice. We don't provide financial, tax, investment, or legal advice, and nothing in the Service should be relied on as such. You are responsible for your own financial decisions, and we recommend consulting a licensed financial adviser where appropriate.

7. Availability and changes

We work hard to keep the Service available, but we don't guarantee uninterrupted or error-free operation. We may add, remove, or change features, or suspend the Service for maintenance. Where changes materially reduce functionality you've paid for, we'll give you reasonable notice.

8. Warranties and liability

Where you use the Service for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply.

Where those protections do apply and cannot be excluded, nothing in these Terms limits your rights under them. Subject to that, the Service is provided "as is" and to the fullest extent permitted by law we exclude all implied warranties.

To the maximum extent permitted by law, Hedge will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or relating to your use of the Service. Our total liability to you for all claims arising from or related to the Service is capped at the amount you paid us in the twelve months before the event giving rise to the claim (or NZD $100, whichever is greater).

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, or if we reasonably believe your use creates legal or security risk. Sections that by their nature should survive termination (including IP, liability, and dispute resolution) will continue to apply.

10. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Material changes will be communicated through the product or via email. Continued use of the Service after changes take effect means you accept the updated Terms.

11. Governing law and disputes

These Terms are governed by the laws of New Zealand. You and Hedge submit to the non-exclusive jurisdiction of the New Zealand courts for any disputes arising out of these Terms or the Service. Before starting any formal proceeding, we both agree to try in good faith to resolve the dispute directly.
